These Terms of Use are updated from time to time, so you should review it from time to time. These are the first version of the Terms. If we update the Terms, the changes will be reflected on this page and we will specify the date when the changes were made and when they come into effect, which would be not less than 30 days after publication.
The Service includes a catalogue of activities, suggested by you and selected by us, as inspiration for your free time, including suggestions for online and offline games, outdoor fun, sports, do it yourself stuff, family activities, events and alike (“Activities”). The Activities are showed and suggested on the basis of information about your age, location, preferences (educational, outside, indoors, with/ without friends). You are able to share your own idea about an Activity that we will double-check for safety before releasing it on the Platform.
The other aspect of the Service is the interaction with your friends. You may invite your friends to join you in Platform, where you can share among yourself the Activities, organize an event, invite the friends to join you in doing an activity both online and offline.
To access the Service features on the Platform, you will need to create an account ("Account"). When you register for an Account or update the information, you agree to provide us an accurate age so that we can suggest you appropriate Activities.
You may never allow anyone else to use your Account (except your parents or legal guardian). If you have reason to believe that your Account is no longer secure, then you must immediately notify us at https://www.Minimize s.r.o.app/support. If anyone asks for your PIN code or personal information (such as your name, address or phone number), please immediately report the user and situation. You agree that we may take steps to verify the accuracy of information you provide, including contact information for a parent or guardian.
If you violate any provision of these Terms, your permission to use the Service will terminate automatically. In addition, we may, in our sole discretion, (a) suspend or terminate your Account and/or your access to the Service, or (b) remove any of the communication created by you, at any time, without notice for any reason. We will have no liability whatsoever as a result of any suspension or termination of your access to or use of the Service. If you are under 18, your parent/guardian may request the termination of your Account by contacting customer service at https://www.Minimize s.r.o.app/support.
You are welcomed to use the Platform to invite your friends to join you in an Activity by creating a group, where you can agree to meet, or coordinate playing online game, or otherwise (“Event Group”). You agree that any such event organization is your sole responsibility. We provide inspiration and ideas, but it is up to you how you carry out the Activities and how you follow the safety recommendations, if any (e.g., required parent involvement). You must pay special attention to users that you invite to join you in the Event Group or you are invited by and make sure you know them personally outside of the Platform.
Any Activity should be considered as a source of inspiration for your own version of fun and entertainment. However, you have to use your own judgement in respect of your safety and safety of those around you, when engaging in an Activity. By accepting these Terms you waive any rights and claims to any damages and/or compensation in relation to any harm and/or injuries that may occur to you, people around you and/or anyone’s property during an Activity or an Event.
The user who sends the invitation to the Activity will be deemed the owner of the Event Group set up for an Activity (the "Owner"). If the Owner’s account is terminated pursuant to these Terms, Minimize s.r.o will cancel the invitation and the Event Group.
Our intention is to build and expand the Platform also with your ideas. You are welcome to suggest your Activities that we may choose to add or not to add to the Platform (“Suggested Activity”). We reserve the right to change the Suggested Activity so that it corresponds to the design of the Platform.
For any Suggested Activity that you have ever shared with Minimize s.r.o or that you will provide (whether created solely by you or together with others):
(a) between you and us or you and users, you retain all copyrights that you may hold in the Suggested Activity, and
(b) in consideration of using the Service, you grant us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free right and license (with the right to sublicense to any person or entity, whether a user of the Service or not) to host, store, transfer, publicly display, publicly perform (including by means of digital audio transmissions and on a through-to-the-audience basis), reproduce (including in timed synchronization to visual images), modify, create derivative works of, distribute, and use in any way the Suggested Activity that you provide, in whole or in part, including modifications and derivative works, in any media or formats (tangible or intangible) and through any media, items or channels (online, offline, or others, now known or hereafter developed), including for publicity and marketing purposes.
If you share a Suggested Activity and it is added to the Platform, you do not have the right to remove or modify that Activity (unless Minimize s.r.o agrees to removal or modification, or unless otherwise required by law). When sharing the Suggested Activity, you agree to grant other users the right to use your Suggested Activity. Other users may use your Suggested Activity to create their own Activities on the Platform, and you will not be entitled to any revenue from other users or from Minimize s.r.o.
For the avoidance of doubt, when the users exchange their results of the Activities or whether you send in a Suggested Activity, the rights granted in this Section include, but are not limited to, the right to reproduce sound recordings (and make mechanical reproductions of the musical works embodied in such sound recordings) and publicly perform and communicate to the public sound recordings (and the musical works embodied therein), all on a royalty-free basis.
Regarding the publicity and marketing rights, you allow us to provide a license to a TV show, movie, book, annual, encyclopedia or anthology, website, social media, online or print magazine or newspaper, or other commercial, non-commercial or educational purpose to use your Suggested Activities and associated username in ways that we think will help publicize or market the Service, any part of the Service, any Activity on the Service and tangible items off the Service, even in case you have exercised a right to be forgotten under the European General Data Protection Regulation. We shall not be obligated to provide to you any compensation, attribution, or other payments for any reasons, including for exploitation of the license discussed immediately above, whether in relation to the Service or otherwise, nor are we obligated to exploit this license.
BY ACCEPTING THESE TERMS AND CONTINUING TO USE THE SERVICE, YOU AGREE THAT THIS LICENSE APPLIES TO ANY USER CONTENT YOU PROVIDED TO US AT ANY TIME.
In relation to any content that you share on the Platform, either with other users directly in the Event Group or you send as Suggested Activity (“User Content”), you represent and warrant that:
(a) You are solely responsible for your User Content;
(b) You are the creator and owner of, or have the necessary licenses, rights, consents, and permissions, to use and to authorize us to exploit the license that you grant to us hereunder; and
(c) Your User Content, and the use of your User Content as contemplated by these Terms, does not and will not: (i) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; (iii) require Minimize s.r.o to obtain any further licenses from or pay royalties or compensation or other amounts or provide any attribution to any third parties; (iv) result in a breach of contract between you and a third party; or (v) cause us to violate any law or regulation.
(d) You must not provide any User Content if you are not the owner of or are not fully authorized to grant rights in all of the elements of the User Content you intend to share. You agree to pay all monies owing to any person as a result of sharing your User Content in violation with copyright laws.
(e) Disclaimer. We are under no obligation to edit or control the User Content that you or others provide, and will not be in any way responsible or liable for the User Content. We may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms or is otherwise objectionable. You understand that when using the Service, you will be exposed to User Content from a variety of sources and acknowledge that User Content may be inaccurate, offensive, indecent, or objectionable. You agree to waive, and do waive, any legal or equitable right or remedy you have or may have against us with respect to User Content. If notified by a user or content owner that User Content allegedly does not conform to these Terms, we may investigate the allegation and determine in our sole discretion whether to remove the User Content, which we reserve the right to do at any time and without notice. For clarity, we do not permit copyright-infringing activities on the Service. Please alert us of any inappropriate User Content or other materials you find on the Service.
We may provide tools through the Service that enable you to export information to third-party services. Third-party services are not under our control, and we are not responsible for any third-party service’s use of your exported information. The Service may contain links to third-party websites. Linked websites are not under our control, and we are not responsible for their content. If you click on a linked website, we are not responsible for such website’s use of your data. You agree that your use of the Service may incur third-party fees, such as fees charged by your carrier for data usage, and may be subject to third-party terms, such as your carrier’s terms of service, and you agree to pay all such fees and abide by all such terms. By using the Service, you expressly relieve us from any and all liability arising from your use of any third-party website or third-party services.
Certain portions of the Service may include, display, or make available content, data, information, applications or materials from third parties ("Third-Party Materials"). You understand that by using the Service, you may encounter Third-Party Materials, such as third-party advertisements and promotional content that may be deemed offensive, indecent, or objectionable, which content may or may not be identified as having explicit language, and that may contain links or references to objectionable material. Nevertheless, you agree to use the Service at your sole risk and that we shall not have any liability to you for content that may be found to be offensive, indecent, objectionable, inaccurate, incomplete, untimely, invalid, illegal, of poor quality or otherwise.
Minimize s.r.o cares about the safety of our users. If you see any content or materials (including Third Party Materials) on the Service that appears to recruit, entice, advertise, or solicit any person to perform a commercial sexual act, please immediately report the user and the situation to Minimize s.r.o at https://www.Minimize s.r.o.app/support.
In addition, third-party services (as discussed above) and Third-Party Materials that may be accessed from, displayed on or linked to from your device are not available in all languages or in all countries. We make no representation that such services and materials are appropriate or available for use in any particular location. To the extent you choose to access such services or materials, you do so at your own initiative and are responsible for compliance with any applicable laws, including but not limited to applicable local laws.
The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Service ("Intellectual Property" or "IP") are protected by law. All IP contained in the Service is our property or our users’ or third-party licensors’ property. The IP includes Suggested Activities that has been licensed to us by our users under these Terms. Except as expressly authorized by us in these Terms, you may not make use of any IP contained in the Service unless you get separate permission from the owner. We reserve all rights to the IP not granted expressly in these Terms.
Subject to your ongoing compliance with these Terms, we grant you a non-exclusive, personal, limited, revocable, non-transferable license to use the Service on compatible devices that you own or control for your personal, entertainment use. This includes the right to download and use software that we make available for download as part of the Service, in object code form only. This software is licensed, not sold, to you for use only pursuant to the Terms and only in connection with your use of the Service.
When you are creating and sharing your Suggested Activity you may choose to use art, musical, literal and similar works in the Activity or create your own art works. In such case you are permitted to use your art work on the Service, provided that your art work complies with all of the provisions of these Terms of Use.
You may not rent, lease, lend, sell, redistribute or sublicense any portion of the Service, including software. You may not copy, distribute, publicly perform, publicly display, decompile, reverse engineer, disassemble, attempt to derive the source code, modify, or create derivative works of the Service or any downloaded or underlying software or technology (except as and only to the extent any foregoing restriction is prohibited by applicable law), nor attempt to disable or circumvent any security or other technological measure designed to protect the Service, including any protections for content services.
If you breach these license restrictions, or otherwise exceed the scope of the licenses granted herein, you may be subject to prosecution and damages, as well as liability for infringement of intellectual property rights.
These Terms will govern any updates provided to you by us that replace and/or supplement any part of the Service, unless such update is accompanied by a separate license, in which case the terms of that license will govern.
